INVESTMENT DETAILS AND RETURNS DISTRIBUTION WATERFALL

We are currently raising TBD in funds startup capital for this project. A link to our complete line-item budget can be found on the LINKS page. Investors will invest capital and become members (i.e. shareholders) in a newly formed U.S. domiciled Limited Liability Company (Block Island Film LLC). Block Island Film LLC will retain ownership of any IP developed for the purpose of this project and benefit from any capital returns generated. Any capital returns, if and when realized, will be distributed in accordance with the below simple distribution waterfall:

• First, pro-rata to all investors (according to their capital investment) until 125% of their capital is returned (i.e. 100% of invested capital plus a 25% premium)

• Then, 25-75 split between investors and producers.

• As a bonus, all investors will also be mentioned in the credits section of the project with the tier being determined based on the $ amount contributed to the project:

  • $___K+: Executive Producer

  • $___K: Associate Producer

  • $___K: “Special Thanks” section

Our strategy will be to target a sale of this production to potential buyers through film festivals and directly to streaming services (Netflix, Amazon, Apple etc.)
